General Counsel
The main thrust of what we do is to provide business-legal counsel to a single-digit number of privately-owned businesses across the wide range of things they become engaged with, particularly working with the business owners.

This ‘General Counsel’ approach leads to a deep understanding of your business and plans and a highly constructive and enjoyable collaboration on issues requiring legal input. It also means that whenever you call for legal resource it is there and pretty much already up to speed with your business and what you are thinking about – thus that initial time required, to brief lawyers and double-check that they have understood you and your preferred approach, is very much reduced. Over time trust is built so that often clients are able to simply brief me and let me lead the conclusion – subject to their guidance and instruction.
As General Counsel I feel I occupy a privileged position with my clients, and I look to honour it constantly. My clients have typically been with me for a number of years.

Usually, the General Counsel relationship begins with a particular need that needs addressing, as per my one-off/project fees below, and, if successful we then agree a retained position with an expected minimum fee spend of £2,000 (ex. VAT) over the next 12 months.

Both Clerksroom and CMC have special fee schemes for lower-value or lower-complexity disputes, which we participate in and are very happy to talk to you about.
If your dispute does not fit into a special value/complexity category, our typical charge is £1,850 (Ex. VAT) to conduct a mediation, including preparation time.
The fee is usually shared equally by the participants to the mediation (i.e. if there are 2 participants, they each pay £925 (ex. VAT).
The biggest variable for mediations is preparation time. Generally, up to a day’s preparation can be included within the typical fee above but some disputes do generate a lot of paperwork, in which case there may be additional fees for additional preparation. It is very important that the mediator is familiar with all aspects of a dispute that participants wish to present.

We cover a wide range of general business issues, such as drafting up contract terms, negotiating with landlords, negotiating disputes/disagreements, drawing up shareholder agreements and structuring board meetings – pretty much anything that you will come across in general business matters.
If we feel that your issue requires specialist input – if litigation must be embarked upon, for example – or you have an intellectual property or reputation enforcement problem, we will recommend specialist solicitors or barristers who you can work with independently of us or we can work alongside. You can rely on us to tell you if we feel that additional or replacement legal support should be brought in.

We don’t have an hourly rate and we don’t charge per phone call, email etc. as you might find some solicitors do. We tend to work off benchmarks for the kind of work involved, and can work with fixed-fee and capped-fee arrangements. Our typical benchmark is around £250 per hour / £2,000 per day – but please call to discuss further.
